Terms of Service

Effective Date: March 27, 2026

Article I — Definitions

As used in these Terms of Service (these "Terms"), the following terms shall have the meanings set forth below.

"Authorized Actions" means any actions that you have explicitly approved Harvest to perform on your behalf through the Service, including but not limited to placing orders, canceling subscriptions, initiating travel rebookings, transferring funds, and contacting Third-Party Providers for negotiation purposes.

"Content" means all text, data, graphics, software, algorithms, machine learning models, user interfaces, designs, logos, proprietary methodologies, optimization strategies, and other materials available through or generated by the Service.

"Financial Data" means any information relating to your financial accounts, transactions, balances, credit card benefits, subscriptions, billing statements, spending patterns, and other financial information accessed, retrieved, derived, or inferred by the Service.

"Harvest," "we," "us," or "our" means Harvest Financial Technologies, Inc., a Delaware corporation, together with its affiliates, subsidiaries, officers, directors, employees, agents, contractors, licensors, successors, and assigns.

"Service" means the Harvest platform, including the website, mobile application, SMS-based interactions, APIs, machine learning models, recommendation engines, and all related features, functionality, and services provided by Harvest.

"Third-Party Providers" means any entities other than Harvest whose products, services, platforms, or data are accessed, referenced, or utilized through the Service, including but not limited to financial institutions, retail merchants, airlines, telecommunications providers, insurance companies, and payment processors.

"User," "you," or "your" means any individual who accesses or uses the Service, whether or not such individual has created an account.

Article II — Acceptance of Terms

2.1 Agreement to Terms

By accessing, downloading, installing, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must immediately cease all use of the Service.

2.2 Eligibility

To use the Service, you must: (a) be at least eighteen (18) years of age; (b) be a legal resident of the United States; (c) have the legal capacity to enter into a binding agreement; (d) not be barred from using the Service under any applicable federal, state, or local law; and (e) not have been previously suspended or removed from the Service.

Article III — Account Registration and Security

3.1 Account Creation

You must create an account to access most features of the Service. During registration, you agree to provide accurate, current, and complete information, and to maintain and promptly update such information.

3.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials. Harvest shall have no liability for any loss arising from your failure to maintain account security.

3.3 Account Suspension

We reserve the right to suspend or terminate any account that we reasonably believe has been compromised, is being used in violation of these Terms, or poses a risk to Harvest, other Users, or Third-Party Providers.

Article IV — Description of Services

The Service is a personal financial assistant that utilizes artificial intelligence, machine learning, and automated systems to help you manage, optimize, and improve your financial life.

4.1 Financial Account Aggregation

The Service connects to your bank accounts, credit cards, investment accounts, and other financial accounts through Plaid and other secure third-party integrations to aggregate your Financial Data.

4.2 Grocery Budget Optimization

The Service permits you to establish budgets, specify preferences, and receive optimized shopping recommendations. Harvest compares prices across multiple retailers and may, upon your explicit approval, place orders on your behalf.

4.3 Bill Negotiation

The Service may contact Third-Party Providers on your behalf to negotiate lower rates, apply retention offers, dispute charges, request credits, or otherwise seek to reduce your recurring expenses.

4.4 Credit Card Perk Optimization

The Service analyzes your credit card accounts to identify unused benefits, expiring credits, overlapping subscriptions, underutilized reward categories, and other optimization opportunities.

4.5 Travel Price Monitoring

The Service monitors prices of flights, hotels, rental cars, and other travel bookings and alerts you when prices decrease.

The Service does not provide investment advice, tax advice, or personalized financial planning. Any suggestions or recommendations are informational and educational in nature only.

Article V — Authorization and Consent

5.1 General Authorization

By using the Service, you expressly authorize Harvest to access and retrieve your Financial Data, analyze your transaction history, store and process your data as described in our Privacy Policy, and send you communications via SMS, email, push notification, and in-app messaging.

5.2 Revocation

You may revoke any authorization at any time by adjusting your account settings, contacting Harvest support, or texting STOP in response to any SMS communication.

Article VI — Fees and Payment

6.1 Subscription Plans

Harvest may offer free and paid tiers of the Service. Pricing, features included in each tier, and billing frequency will be clearly presented to you before you incur any charges.

6.2 Success-Based Fees

For certain features, including bill negotiation, Harvest may charge a success-based fee calculated as a percentage of verified savings.

6.3 Refund Policy

Subscription fees are non-refundable except as required by applicable law or where Harvest determines a refund is appropriate due to a Service deficiency.

Article VII — Third-Party Services

The Service integrates with various Third-Party Providers. Your use of third-party services through Harvest is additionally subject to those providers' respective terms of service and privacy policies. Harvest exercises no control over and assumes no responsibility for Third-Party Providers.

Article VIII — User Responsibilities

8.1 Permitted Use

You agree to use the Service only for lawful, personal, non-commercial purposes and in strict accordance with these Terms.

8.2 Prohibited Conduct

You agree not to: use the Service for unlawful purposes; reverse-engineer the Service; use automated systems to access the Service without consent; interfere with the Service; circumvent security measures; impersonate any person; or share your account credentials.

Article IX — Intellectual Property

The Service, including all Content, algorithms, and machine learning models, is owned by or licensed to Harvest and protected by intellectual property laws. Subject to your compliance with these Terms, Harvest grants you a limited, non-exclusive, revocable license to access and use the Service for personal, non-commercial purposes.

Article X — Privacy and Data Security

Our collection, use, and processing of your personal information is governed by our Privacy Policy. Harvest implements industry-standard security measures, including AES-256 encryption at rest and TLS 1.3 encryption in transit. Harvest does not and will not sell your personal information or Financial Data to third parties.

Article XI — SMS Communications

By providing your phone number, you consent to receive SMS messages including financial alerts, action confirmations, and service-related communications. You may opt out by texting STOP. Text HELP for help. Message frequency varies. Message and data rates may apply.

Article XII — Regulatory Disclosures

Harvest is a technology company, not a bank, credit union, money transmitter, broker-dealer, investment adviser, or tax advisor. Harvest does not hold, transmit, or custody your funds.

Article XIII — Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT.

Article XIV — Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HARVEST SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. HARVEST'S TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU HAVE PAID TO HARVEST IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD $100.00).

Article XV — Indemnification

You agree to indemnify, defend, and hold harmless Harvest and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses arising out of your use of the Service or your violation of these Terms.

Article XVI — Dispute Resolution

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Before initiating any formal dispute resolution proceeding, you agree to first contact Harvest at [email protected] and attempt to resolve the dispute informally for at least sixty (60) days. Any dispute not resolved informally shall be resolved through binding individual arbitration administered by the American Arbitration Association.

Class Action Waiver: You and Harvest agree that each may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any class, consolidated, or representative action.

Article XVII — Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Article XVIII — State-Specific Provisions

California Residents: You have certain rights under the California Consumer Privacy Act (CCPA) and the California Privacy Rights Act (CPRA). To exercise your rights, contact [email protected].

Article XIX — Termination

You may terminate your account at any time through account settings or by contacting [email protected]. Harvest may suspend or terminate your access to the Service at any time for cause.

Article XX — Changes to Terms

Harvest reserves the right to modify these Terms at any time. If we make material changes, we will provide notice by posting the revised Terms with an updated effective date. Your continued use of the Service after any modification constitutes acceptance of the revised Terms.

Article XXI — General Provisions

Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Harvest.

Severability: If any provision is held invalid, it shall be modified to the minimum extent necessary to make it valid.

Waiver: Failure to enforce any right shall not constitute a waiver of such right.

Assignment: You may not assign these Terms without Harvest's prior written consent.
